Once your company exists, it has to be kept in Good Standing. We provide the registered office, company secretary and ongoing administration that keep it there.

Registered office
Every Gibraltar company must maintain a registered office in Gibraltar. We provide the address, receive and handle official correspondence from the Registrar and the Income Tax Office, and keep your statutory records at that address.
Company secretary
A local company secretary is essential for keeping filings up to date, and late filings carry penalties. Octopus provides company secretary services as standard within our management packages: maintaining the statutory registers, preparing board and shareholder resolutions, and recording changes of director, secretary, shareholding or registered office with the Registrar.
Corporate directorship & nominee shareholder
Octopus is licensed and regulated by the Gibraltar Financial Services Commission (GFSC) to provide both corporate directorship and corporate nominee shareholder services. There is no statutory requirement for a Gibraltar-resident director, but a local corporate director is typically required to open a Gibraltar bank account and to demonstrate that management and control of the company takes place in Gibraltar.
Your annual compliance calendar
As your company secretary we prepare and file the following on your behalf:
- Annual return — normally due on the anniversary of incorporation.
- Annual accounts — due within 12 months of the accounting year end.
- Corporation tax return — due within 9 months of the accounting year end.
- Annual general meeting — held unless dispensed with by special resolution.

Reinstatement & re-domiciliation
If a company has been struck off, we can reinstate it to Good Standing as though it had never lapsed: settling outstanding fees, filing overdue returns and accounts, and applying to the Registrar for restoration. We also handle inbound re-domiciliation, so a company can move its registration to Gibraltar without dissolving and without losing its legal history, name, contracts or branding.
Banking and payments
We maintain a panel of banks and electronic money institutions and assist throughout the account application — see bank introductions and merchant facilities.
What it costs
Costs depend on company type, substance requirements and the services you need. A non-resident company is typically less expensive than a resident company, which requires a trade licence and Department of Employment registration.
